Chapter 6. Governance readiness

Source note

Source basis - S1, physical PDF page 10.

general professional knowledge; HCDI pillar P5, Regulatory & Governance Readiness. Governance is how an organisation makes decisions, controls itself and answers to others. A company that has run well as a private business may not be ready for what a new owner, a regulator or a stock exchange will expect of its board, its records and its controls. The fifth pillar, Regulatory & Governance Readiness, concerns that readiness. For a decision-user, the useful habit is to ask what is documented, who approved it and when, and whether anyone outside the management has looked at it.

Evidence Check. A policy that exists is not the same as a policy that is followed. Look for the difference.

Governance capacity depends on the change

Basis - general professional knowledge and editorial explanation. External references are identified explicitly; this section adds no HCDI rule.

A private firm may operate through trusted relationships while a new ownership structure demands demonstrable authority and timely information. Compare present capability with the contemplated setting. Distinguish a policy that exists, a process that is used and a control that works. OECD board and disclosure principles provide external context, not HCDI criteria or a substitute for local legal advice. [R5]
